1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Imperius Media & Advertising LLC (“Company,” “we,” “us,” or “our”), a Wyoming limited liability company. By accessing our website at imperiusmedia.com (the “Site”) or using any of our services (the “Services”), you agree to be bound by these Terms. 2. Services
Imperius Media & Advertising LLC provides marketing, advertising, and related business services to clients. The specific scope of services will be defined in a separate service agreement or proposal between us and each client.
3. Eligibility
You must be at least 18 years of age and capable of entering into a binding agreement to use our Services. By using our Site or Services, you represent and warrant that you meet these requirements.
4. SMS / Text Message Terms
4.1 Consent to Receive Text Messages
By providing your mobile phone number through our website chat widget and agreeing to the SMS consent prompt and initiating or continuing a conversation with us, you agree to receive SMS and MMS text messages from Imperius Media & Advertising LLC at the mobile number you provided. Consent language is presented within the chat widget interface at the time you submit your contact information.
Consent to receive text messages is not required as a condition of purchasing any product or service from us.
4.2 Types of Messages
The text messages we send are strictly operational and service-related in nature, and may include:

Upon receiving your STOP request, we will send you a single confirmation message and remove you from our SMS list. No further messages will be sent unless you re-opt-in.

Our SMS service is available through all major U.S. mobile carriers. Carrier support may vary; we are not responsible for delays or failures in SMS delivery caused by your carrier.
4.8 No Liability for Carrier Issues
We are not liable for any delays or failures in receiving text messages that result from your carrier’s network, your device settings, or factors outside our reasonable control.
5. User Conduct
When using our Site or Services, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable laws
- Transmit spam, unsolicited messages, or harmful content
- Attempt to gain unauthorized access to our systems
- Impersonate any person or entity

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IMPERIUS MEDIA & ADVERTISING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Imperius Media & Advertising LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Site or Services, your violation of these Terms, or your violation of any rights of another party.

14. Severability
